Should I
incorporate?
Not necessarily,
although you could certainly choose that path. If you choose not to
incorporate you are a �sole proprietor�. This means your business
income will be regarded as your personal income. There is no
business tax to pay, but you will have to pay personal income tax on
all your business income as if it were your salary. You would also
pay self-employment tax, consisting of Social Security and Medicare,
and are required to file "Profit or Loss from a Business" forms. On
the other hand, as a corporation, your business assets will be
regarded as separate from your personal assets, protecting you
against certain liabilities.

If I�m
self-employed, what happens to my 401k Plan?
It gets better.
The new tax codes have dramatically improved the situation for 401k
contributions by the self-employed. Many investment firms now have
special plans for small businesses and sole proprietorships.

What should I do
about health insurance?
If you are unable
to enroll in your spouse�s health plan or take advantage of COBRA
coverage, then you can apply for your own private insurance and
deduct the cost as expenses. If both you and your spouse are on a
health plan already, you can write off the total cost.

Will I need
business insurance?
Professional
Liability insurance (also known as Errors and Omissions) would
protect your business against any claims for failure to perform.
It�s certainly worth considering, especially if you intend to
operate as a sole proprietor. As a sole proprietor you can deduct
the cost of the insurance from your earnings.

My current
employment contract prohibits me from competing. Can I still
participate?
Any restrictions
will depend on the type of agreement you have signed with your
employer. It also may be affected by where you live. A number of
states will not enforce any restrictions on your ability to work.
They may place distance restrictions within their non-compete
agreements, (around 50 miles is common). An employment lawyer can
advice you with regards to this subject.

Should I do
business under my own name, or create a new business identity?
It�s up to you. If
you wanted to promote yourself as "Pauline Potter�s Personnel
Services" for example, then you would be regarded as DBA or "Doing
Business As". Some states also call this a "Fictitious Name" or an
"Assumed Name". You may be required to file a permit for the name,
which would prevent anyone else from using it and causing confusion,
but the name has no effect on your legal status as a sole
proprietor. You can file a name at your local or the offices of your
Secretary of State at any time.
Note: In the
day-to-day operations you refer to everyone that you are an
Independent Associate of Multigent Corporation.

How do I cover my
business expenses?
Working for your
self, means paying for a variety of services. Many expenses are
tax-deductible. You accountant can help you file claims for each
expense. Private health insurance for example, will is 100%
deductible and you may also be able to claim a home office
deduction. As a sole proprietor, you can even claim on some
entertainment expenses and receive a 100% deduction for your
Internet connection.

Is there a limit to
the amount of expenses I can write off?
You can write off
up to $20,000 each year for Business Assets such as computers,
office furniture, car etc. This does not include "intangible assets"
however, such as office supplies and software. The deductions are
limited to the point you show zero profit, but excess deductions can
be carried into the following year. Again, you should consult your
accountant about how much you will be able to claim.

When is a good
time to start?
Now! This is the
moment to become your own boss! You can begin by identifying target
clients, speaking with your accountant and building your office.
Basic office configuration should include: a Computer, preferably a
Laptop, loaded with Windows Office 2000 or Windows XP, a printer, a
fax machine and dedicated phone line. With all this taken care of,
you will be ready to start earning substantial commissions by
working for yourself!

Independent Agent�s who represent the pre-screened qualified

Independent
Associate�s, function as agents on behalf of both the candidates and
the employers. When successful placements occur, the employer

Are there any
limitations when building my Associate Network?
Multigent
Independent Associate can build their associate network to a
seven-team maximum depth, with unlimited width. Commissions are
paid regardless of where income is generated within your
Relationship Network, and there are no quotas to meet. Best of all,
whoever referred you to Multigent, receives payment when you
generate revenues; and you get paid when the Independent Associates
you referred to Multigent generated revenues-- and when the
Independent Associates they referred -- generate revenues, and so on
and so on... Not just once, but every time those
Independent Associates generate permanent or interim staffing
revenues, throughout their entire careers.

What is my title?

Can I advertise?
Multigent reserves
the sole right to use the Company name, logo and trademarks or those
of partners. Independent Associates understand and agree that they
will not use the Company name, or the trade names, logos,
copyrighted material, trademarks or service marks (the "Marks") of
Multigent Corporation, except in materials provided by and approved
by the Company. Unauthorized use or duplication of these Marks are a
violation of the law and is not permitted.
Approval to use the
official Multigent logo is given to Independent Associates only on
business cards, letterhead, envelopes, flyers and print, radio,
television or multi-media advertising (Advertising Materials). All
advertising materials, whether Multigent is mentioned or not, must
be approved by Multigent prior to use. Criteria for approval of
these materials will include a judgment of the aesthetic quality and
professionalism of the materials, as well as ensuring that they have
properly set forth the Independent Consultant status.
Multigent reserves the right to reject such
advertising materials for any reason at its sole discretion.
Independent Consultants may not create, use, or sell any sales aids,
ad specialty, novelty items or promotional materials (such as
T-shirts, key chains, coffee mugs, pens or any other type items)
with their membership, except those provided by Multigent.

What Is The Succession Plan?
Upon the death or incapacity of an Independent Associate, his or her
rights to commissions and position in the seven-team associate
network shall pass to his or her successor in interest upon written
application when Multigent Corporation is provided with all
necessary documentation.
The successor
Independent Associate must execute an Independent Associate
Agreement and fulfill all responsibilities of the Team Member. The
successor Independent Associate may be an existing Team Member as
long as he or she complies with all Multigent Corporation policies
and procedures.

Temporary and Contract Services provide?
Multigent

comprehensive temporary and contract administrative services in the
staffing industry.

Payroll funding on a weekly or bi-weekly basis for temporary or
contract workers.

What do I need to do
to get started?
When a Placement
Agent confirms the placement of a temporary or contract employee on
an assignment, they simply recap the placement. A �New Employee
Announcement� is sent to TFI Resources. They will contact the worker
and get them set up for payroll. As part of this process, TFI
Resources will review the services that will be offered, e.g.,
direct deposit, and make them aware of the benefits and choices
available.

How do I represent
the role of TFI Resources to the candidate and to the company?
Let the contractor
know we (Multigent Corporation) use TFI Resources to provide payroll
administration services so you can focus on the personnel aspects of
your business. For the client, offer a similar explanation and note
that using TFI Resources, an administrative employer, gives workers
access to better benefits and gives you the ability to allocate more
of your time to recruiting, interviewing, and other personnel tasks.

paychecks and invoices?
Multigent

invoices. TFI Resources is noted as the �Administrative Employer� of
the workers placed by you.

collect time sheets, process payroll, invoice the company, and
monitor collections. You will have 24/7 access of the activity on
your account through PerformPay. You should check in with your
temporary placements periodically to monitor work performance and

What workers
compensation classification will TFI Resources accept?
Typically
8810�Clerical/Office. This classification includes practically any
type of work performed in an office setting, i.e., secretarial,
engineering, technical, accounting, etc. Sometimes other
classifications are acceptable, but they need to be reviewed on a
case-by-case basis.

What benefits are
available to the workers?
TFI Resources offers
a range of benefits and services to the workers. Typically, the
worker pays the cost of benefits. Benefits available include health
insurance, dental insurance, and vision discounts. Life and other
types of insurance are also available, as well as credit union
membership in some states. Benefits vary from state to state, so it
is best to contact the TFI Resources office for more specific
information.

What about
out-of-state placements?
No problem. TFI
Resources is registered in most states as an employer to withhold
state income taxes, provide workers� compensation insurance, pay
unemployment taxes, etc. If you have the opportunity to make an
out-of-state placement, please call to make sure that TFI Resources
is registered in that state. If they are not, TFI Resources will
look into getting set up to accommodate your activity.

How do my
contractors get paid?
Several payment
options are available. Checks can be mailed or deposited directly
into the employee�s bank account. FedEx delivery or other courier
options are also available. Pay periods can be weekly, bi-weekly,
semi-monthly, or monthly.

When do I get paid?
The client company
pays invoices directly to TFI Resources, usually within 30 days. On
a bi-monthly (1st and the 15th of the month),
all profit relating to any checks received for invoices in your
account will be paid to you.
